I need to make sure I got it right.
In army list at Supreme Com entry it states: "Replace one Necron Lord in the army with Necron Overlord character OR One C'tan".
Is C'tan added to the formation of for eg. 6x Necron Warriors while Lord is being taken away?
Or is C'tan a formation in its own right (after Lord/L upgrade has been removed from one the formations) ?

It should be read as two separate lines, so

Option 1. Replace a Necron lord with a Necron Overlord

or

Option 2. Take a C'tan

If you take the C'tan option you just add a warengine supreme commander to the army as a separate formation, no lords need to be replaced, you only replace a lord if you swap it out for an overlord.
