don't these rules apply only to crowd offered securities?

So not preordering like nearly all mini crowdfunders are, but when you are buying shares in a company (and any potential profits).

I was under the impression that this was about crowdfunding in the "correct" sense of the word, i.e. a way of getting lots of small investments for your startup as opposed to a few big rich guys. So, you issue shares in return for capital. That's not really what most things on kickstarter et al are about. Kickstarter is mostly an advertising platform for preorders.

In fact, I'm not actually sure that the activity that these regulations will regulate is actually legal yet in the jurisdiction that they apply to (i.e. the US). So the idea that they can make it "more expensive" seems an odd concept.
